Terms and Conditions

Welcome to 11Signals Technologies Private Limited! These Terms and Conditions ("Terms") govern your use of our customized Learning Management System (LMS) solutions and related services. By entering into a contract or using our services, you agree to these Terms.
1. Definitions
1.1. Client: The B2B entity engaging 11Signals Technologies Private Limited for LMS services.
1.2. Services: The development, customization, implementation, and support of the LMS platform provided by 11Signals.
1.3. Deliverables: The LMS platform and associated materials, as specified in the contract.
1.4. Fees: The agreed payment amount for services rendered, outlined in the proposal or contract.
2. Scope of Services
2.1. 11Signals will provide customized LMS solutions tailored to the requirements specified by the client in the agreed project scope.
2.2. Modifications or additional features requested outside the agreed scope may incur additional fees and extended timelines.
3. Payment Terms
3.1. All payments must be made as per the terms outlined in the contract or invoice.
3.2. Payments can be made via accepted modes, including bank transfer or payment gateway links.
3.3. Late payments may attract penalties as specified in the contract.
4. Intellectual Property
4.1. 11Signals retains ownership of any pre-existing intellectual property, tools, and frameworks used in the LMS development.
4.2. The client receives a non-exclusive, non-transferable license to use the customized LMS as per the agreed terms.
5. Confidentiality
5.1. Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of the engagement.
5.2. Any breach of confidentiality may result in legal action or termination of services.
6. Data Security and Compliance
6.1. 11Signals ensures reasonable measures to protect client data and comply with relevant data protection regulations.
6.2. The client is responsible for ensuring compliance with any laws applicable to their business operations.
7. Support and Maintenance
7.1. Post-implementation support will be provided as per the terms agreed in the contract.
7.2. Ongoing maintenance or upgrades beyond the initial scope may be subject to additional fees.
8. Termination
8.1. Either party may terminate the agreement with prior notice as specified in the contract.
8.2. Upon termination, the client must settle all outstanding payments, and 11Signals will transfer any client-owned data.
9. Limitation of Liability
9.1. 11Signals is not liable for indirect, incidental, or consequential damages resulting from the use of the LMS.
9.2. Liability is limited to the total amount paid by the client under the agreement.
10. Force Majeure
10.1. 11Signals is not responsible for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, or technical failures.
11. Governing Law and Dispute Resolution
11.1. These Terms are governed by the laws of India.
11.2. Disputes will be resolved through arbitration as per the Arbitration and Conciliation Act, 1996, with the venue in Bengaluru City.
12. Amendments
12.1. 11Signals reserves the right to amend these Terms. Clients will be notified of significant changes in advance.
